UnBuilt / Terms
Terms and conditions
Version 1.0. These are the terms every UnBuilt project runs on. When you sign up, you accept the version shown to you at that moment.
- Quotes. Prices on this site are indicative and negotiable. A written quote is valid for 15 days. The final price is fixed only in the accepted Service Agreement and its Scope of Work.
- How a contract is formed. A project becomes binding when the client accepts the Service Agreement and Scope of Work on our website through OTP-verified click-to-accept, a valid electronic contract under the Information Technology Act, 2000, and the advance payment is received by UPI. A PDF copy of the accepted agreement is sent by email and WhatsApp. Messages or calls alone do not start work.
- Scope and changes. We build what the Scope of Work lists. Anything else is a change request, quoted in writing and approved before work starts. The build fee includes two rounds of design revisions and two rounds of development revisions.
- Client responsibilities. The client provides content, logos, photos, product data and access within 7 days of a request. If the client does not respond for 30 days the project is paused; after 60 days it is closed, payments received are kept, and restarting needs a fresh quote.
- Payments. Payments follow the milestone schedule in the agreement. Prices exclude GST where applicable and third-party costs such as domains, paid APIs and payment gateway fees, which are billed at actual cost. Work pauses if a payment is more than 7 days overdue.
- Hosting and accounts. During the project, previews are hosted on our infrastructure and are for review only. Production hosting, databases and API services run on accounts the client creates in its own name and grants us access to by invite. We deploy to these accounts after final payment. The client is responsible for those providers' terms, limits and upgrade costs.
- Ownership. All work remains ours until full payment. On full payment, ownership of the custom code, designs and content made for the client passes to the client. We keep our pre-existing tools and reusable components and give the client a permanent licence to use them in the delivered project. Open-source parts keep their own licences.
- Domain. The domain is registered in the client's name and belongs to the client at all times.
- Handover. We hand over the code, deployment and credentials within 7 days of final payment. After handover the client is responsible for keeping credentials safe.
- Warranty. We fix defects against the Scope of Work reported within 30 days of go-live, free. This does not cover changes made by the client, third-party changes, hosting outages or new requirements.
- Maintenance. Support after the warranty is bought as prepaid hour packs at the rates on our services page. Hours are valid for 12 months and are not refundable. New features within 12 months of go-live are billed at the discounted upgrade rate.
- Third-party services. We are not liable for outages, policy changes or price changes of hosting, domain, payment, cloud or AI providers.
- Client content. The client confirms it has the rights to everything it gives us and is responsible for claims arising from that material.
- Personal data. The client is responsible for the personal data its website or software collects from its own customers, including its privacy notice and consents under the Digital Personal Data Protection Act, 2023. We use such data only to build and maintain the project.
- Confidentiality. Both sides keep each other's non-public business information confidential during the project and for 2 years after it.
- Portfolio and credit. We may show finished work in our portfolio and keep a small "Built by UnBuilt" credit in the site footer, unless the client opts out in writing before signing.
- Refunds. The advance is not refundable once work has started. If we fail to deliver the Scope of Work, the client is refunded the amount paid minus the value of delivered milestones.
- Ending a project. Either side may end the project with 15 days' written notice. The client pays for work completed up to that date and receives the deliverables for fully paid milestones.
- Liability. Our total liability for any project is limited to the fees paid for it. We are not liable for indirect losses such as lost profit.
- Security testing. We only test websites, servers, domains and accounts that the client owns or controls and has authorised us to test in writing, within the scope and dates agreed. A security posture report is a point-in-time check of what is visible from outside, not a full penetration test and not a guarantee that a system cannot be breached. We keep findings confidential and share them only with the client.
- Work we decline. We do not build for gambling, adult content, scams, impersonation or anything unlawful.
- Disputes. We first try to settle any dispute by discussion for 30 days, then by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator seated in Thane. These terms are governed by the laws of India.
